The Binapples website, accessible through https://www.Binapples.com and https://www.Binapple.com (collectively, the “Website” or “Site”), is provided by Rodsy, LLC (“Rodsy,” “we,” or “us”). To assist you in using our Website and accessing the associated facilities, and to ensure a clear understanding of the relationship arising from your use of our Site, we have created these Terms and Conditions of Use (the “Terms”) and our Privacy Policy. The Privacy Policy explains how we treat information you provide to us through the Site, and these Terms govern your use of our Site. Both documents apply to any visitor to the Website (collectively, “you”), including (i) casual visitors who do not register for a username and password, and (ii) registered members who create profiles and otherwise participate in our facilities, including (a) Free Members, (b) Paid Members, and (c) VIP Members.

1. Your Agreement

These Terms govern: (i) your use of the Website, (ii) use of the facilities (as defined in Section 6.1) to provide content to other Members and Site Visitors, and (iii) your use of content accessed through the Site. By accessing our Website or registering as a Member, you acknowledge that you have read and understood these Terms and agree to be legally bound by them. If you become a Member, you will be prompted to click an “I Accept” button during the registration process, further confirming your agreement to be legally bound by these Terms.

2. Governing Law; Arbitration and Class Action Waiver

These Terms are governed by Florida law. Disputes are resolved through binding arbitration, with no class action claims allowed. Arbitration takes place in Florida or via remote methods. Confidentiality of arbitration awards and information is required.

3. Links

Rodsy is not responsible for third-party links on the Site. Your dealings with linked companies are solely between you and those companies.

4. Privacy and Your Disclosure of Information via Our Facilities

Please review our Privacy Policy for information on how we collect, use, and protect your personally identifiable information. Disclose personal information advisedly, as privacy protections do not apply to information you choose to disclose via our Facilities.

5. Technical Restrictions; Remedies

You must respect our file size, bandwidth, and storage limitations for content you submit and the profile you create. If we determine, in our discretion, that it is necessary, we will disable or take other related action concerning accounts that in our view are using excessive bandwidth or other system resources. In addition, we reserve the right, if we find it necessary (in our discretion), to delete or change a Member’s username and URL address, and to restrict the number of emails which a Member sends to other Members in any 24-hour period, if we believe, in our discretion, that the volume of email is too large.

6. Billing and Refunds

Paid Members pay a membership fee, processed through a third-party vendor. Rodsy does not store or retain credit card information. All fees are nonrefundable and nontransferable.

7. Indemnity

You agree to defend, indemnify, and hold Rodsy harmless from any liability arising from your breach of these Terms, activities on the Site, or provided content.

8. Contact for Alleged Copyright Infringement

If you believe content on our Site infringes copyright, notify our designated agent under the DMCA.

9. Monitoring of Facilities; Removing Postings

Rodsy monitors the Website and facilities to ensure compliance with these Terms. Content is reviewed before posting, and Rodsy reserves the right to remove or block content and suspend or terminate accounts for violations.

10. Additional Terms for Certain Facilities or Sites

Certain programs or facilities may have additional terms. You may decline participation if you do not agree with the differing terms.

11. Limitation of Liability

Rodsy is not liable for indirect, special, incidental, punitive, exemplary, or consequential damages arising from your use of the Site. Rodsy’s aggregate liability is limited to $100.

12. Member Features

We provide an online social network allowing Members to find and communicate with friends, both old and new, based on shared interests. Members use the Site primarily via “profiles,” which are personal web pages. Members can create profiles and include multimedia content, such as photographs and videos, subject to certain content-related, bandwidth, and file-size restrictions. Other Members can interact with your profile through messages, instant messages, and links to their own profiles. Privacy controls allow you to manage who can access your profile and content.

13. Use of Profiles in Promotions

Rodsy may use member profiles and content for promotional purposes unless privacy controls are used to prevent this.

14. Rights You Must Have in Your Content; Records

You represent and warrant that you hold all necessary rights to upload content, have obtained consent from all depicted individuals, and comply with legal obligations, including maintaining records as required by 18 U.S.C. § 2257.

15. Modifications to these Terms

We reserve the right to modify these Terms. Changes take effect upon your subsequent access to the Website.

16. Duration of Rights

Your rights and obligations continue until you cease use of the Facilities or your password is revoked or suspended for misconduct.

17. Assignment

You may not assign these Terms. Rodsy reserves the right to assign its rights and obligations.

18. Definitions

• “Content” includes both textual and visual content.
• “Member” includes Free, Paid, Unlimited, and VIP Members.
• “Personally Identifiable Information” has the meaning set out in the Privacy Policy.
• “Privacy Controls” are options for protecting information provided to the Website.
• “Registration” is the process of becoming a Member.
• “Textual Content” includes text-based information posted on profiles, forums, communications, stories, chat rooms, and feedback.
• “Visual Content” includes photographs, visual depictions, and videos.

19. Registration Process; Membership Types

19.1. Registration Process and Password

To become a Member, you must complete the registration process, which includes creating a username and password, verifying your age, providing an email address, zip code, country of residence, physical features, and information about yourself and your objectives as a Member. You may also provide your full name for password recovery purposes. Once approved, you will use your username and password to access the Website and Facilities.

19.1.2. Membership Approval; Age and Identity Verification

We maintain a robust process for verifying the age and identity of prospective Members, including reviewing and validating government-issued identification. Registration is subject to verification and approval at our sole discretion.

19.1.3. Protecting Your Password

We recommend maintaining your password in confidence and refraining from disclosing it. Notify us immediately if you suspect someone is using your password.

19.2. Membership Types and Designations

19.2.1. Free Members

Free Members have limited access to our Facilities and cannot view full messages from other Members or communicate with them.

19.2.2. Paid Members

Paid Members have broader access to content and facilities. Membership is obtained by submitting payment after registration and approval.

19.2.3. Unlimited Members

Unlimited Members pay a one-time fee and have no renewal obligations. They have access to the Site until it is shut down or made unavailable, or their account is terminated under Section 9.

19.2.4. Charter Members

Charter Members are original Members with special designations and the same rights and obligations as Unlimited Members.

19.2.5. VIP Members

VIP Members can submit information about upcoming events for posting on the Site. Rodsy decides VIP status at its discretion.

19.3. Site Visitors

Visitors have limited access to the Facilities and content.

20. Rodsy’s Grant of Rights to You

20.1. Rights to Access and Participate in Facilities

Rodsy grants you the right to access and use the Facilities for personal use, subject to these Terms.

20.2. Rodsy Ownership; Reservation of Rights

Rodsy and its licensors own all content on the Website, protected by intellectual property laws. You may not use, duplicate, or modify Rodsy content without authorization.

21. Mobile App User-Generated Content Policy

User-generated content on the Binapple Official app must not contain nudity. Violations should be reported via the in-app support tab.

22. Termination of Rights; Survival

Rodsy disclaims ownership of visual content. Content can be removed upon request, terminating granted rights. The Textual Content License continues indefinitely.

23. Code of Conduct

You agree to comply with these Terms and the following Code of Conduct, including prohibiting activities that promote or facilitate trafficking, exploitation, or nonconsensual activities, and refraining from soliciting Members, disseminating private information, infringing intellectual property rights, transmitting harmful materials, or using the Site for commercial purposes without authorization.

25. Limitation of Liability

26. Duration of Terms; Survival

Provisions such as termination of rights, ownership, warranty disclaimer, limitation of liability, indemnity, assignment, governing law, arbitration, and survival remain in effect indefinitely.

27. Warranty Disclaimer

Rodsy does not warrant the Site will be error-free or uninterrupted. The Site and all programs and facilities are provided “as is” and “as available.” Rodsy disclaims all warranties, express or implied.
